Job Description

Position Summary:

We are seeking a detail-oriented and proactive Commercial Transactions Paralegal to support our legal team in managing and executing a wide range of commercial agreements and transactions.

Key Responsibilities:

• Draft, review, and revise various commercial agreements including NDAs, vendor contracts, service agreements, licensing agreements, and purchase/sale contracts.
• Assist with contract lifecycle management, including tracking deadlines, renewals, and compliance obligations.
• Conduct legal research and summarize findings related to commercial law and regulatory requirements.
• Coordinate with internal departments to gather information and ensure contract terms align with business needs.
• Support due diligence efforts in mergers, acquisitions, and other corporate transactions.
• Maintain organized records of contracts and legal documents in the company’s database.
• Prepare summaries and reports for attorneys and business stakeholders.
• Assist with corporate governance tasks such as entity formation, filings, and resolutions as needed.

Qualifications:

• Associate’s or Bachelor’s degree; Paralegal certificate from an ABA-approved program preferred.
• 3+ years of experience in a legal environment, with a focus on commercial transactions.
• Strong understanding of contract law and business operations.
• Excellent written and verbal communication skills.
• High attention to detail and ability to manage multiple priorities.
• Proficiency in Microsoft Office Suite and contract management software.

Preferred Skills:

• Familiarity with legal technology tools and document automation platforms.
